چکیده
سلامت هر مجموعهای رابطهای مستقیم با نظارت و بازرسی دارد، بطوریکه شرکتهای سهامی نیز از این قاعده مستثنی نمیباشند. بر این اساس، به منظور جلوگیری از سوءاستفاده مدیران و نیز ایجاد پوششی مناسب برای حفظ حقوق سهامداران و اشخاص ثالث، نهاد بازرسی در شرکتهای سهامی پیشبینی گردیده تا بر عملکرد هیأت مدیره شرکت نظارت داشته باشند. این اشخاص در قانون تجارت 1311 «مفتش» و در لایحه اصلاح قانون تجارت «بازرس» نامیده شدهاند که معادل (Auditor) در حقوق انگلیس میباشد. بازرسان، اشخاص مطلع و مجربی هستند که از حسن شهرت برخوردار بوده و از طرف مجمع عمومی صاحبان سهام برای اطلاع از وضع شرکت و نظارت بر حسن جریان و گردش امور شرکت در جهت حفظ منافع سهامداران، بستانکاران و دارندگان اوراق قرضه انتخاب میشوند و بر طبق قانون و اساسنامه شرکت مکلفند، نظرات خود را درباره بیلان و عملکرد شرکت به مجمع عمومی گزارش کنند. گزارش خلاف واقع و نیز قصور در انجام وظیفه ممکن است خساراتی به سهامداران و شرکت وارد گردد. به همین جهت، هم در ماده 64 قانون تجارت 1311 و هم در ماده 154 لایحه اصلاح قانون تجارت، مسئولیت بازرسان پیشبینی گردیده، بطوریکه علاوه بر مسئولیت مدنی، اگر تخلف بازرس مستوجب مجازات باشد از نظر کیفری نیز

چکیده [English]
The health of any company has a direct relationship with supervision, so that corporations are no exception. Accordingly, in order to prevent abuse of directors and to provide appropriate coverage for the protection of shareholder and third party rights, the audit firm is foreseen in joint stock companies to monitor the performance of the board of directors. These persons are referred to in the Inspectorate of Trade Act 1311 and the Inspector of Trade Amendment Act, which is equivalent to (auditor) in English law. Inspectors are well-known and experienced persons who are well-known and selected by the General Meeting of Shareholders to inform the Company about the Company's status and to monitor the Company's flow of business in order to safeguard the interests of its shareholders, creditors and bondholders. The law and statute of the company are required to submit their views to the general meeting on the balance sheet and performance of the company. False reporting as well as failure to perform may cause damage to shareholders and the corporation.
