چکیده

حفظ اسرار تجاری موجب حفظ مزیت مطلق یا نسبی تجاری می‌شود. اسرار تجاری از اقسام حقوق مالکیت فکری است که در حقوق تجارت بین‌الملل معنای بسیار عام و مطلقی دارد. هرچند موافقت‌نامه جنبه‌های تجاری مالکیت فکری (تریپس) اسرار تجاری را مورد شناسایی قرار داده اما حمایت از آنها را منوط به محرمانه باقی ماندن آنها کرده است؛ وانگهی تریپس، مورد پذیرش همه کشورها نیست؛ بنابراین تجار در هر حال، برای حفظ اسرار تجاری از قرارداد محرمانگی استفاده می‌کنند اما در روابط تجاری بین‌المللی که قانون یا کنوانسیون جهان‌شمولی وجود ندارد، مسئله این است که چگونه می‌توان با استفاده از قرارداد محرمانگی، اسرار تجاری را به بهترین حالت ممکن حفظ کرد؟ این تحقیق که به شیوه توصیفی و تحلیلی انجام شد نشان داد که نه‌تنها با تعیین دقیق تعهد‌ها و وجه التزام، بلکه با انعقاد موافقت‌نامه داوری می‌توان، به بهترین حالت ممکن اسرار تجاری را در حوزه تجارت بین‌الملل حفظ کرد.

چکیده [English]

The protection of trade secrets leads to absolute or comparative commercial advantage. Trade secrets are a kind of intellectual property that has a broad and absolute meaning in international trade law. Although The Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS) have had recognized trade secrets, its protection condition is keeping the secrecy of trade secrets in addition to Trips is not accepted by all countries; so merchants for protection of their trade secrets, use confidentiality agreement anyway but in international trade which there is no would wide law or convection the problem is that: how using a confidentiality agreement could protect trade secrets in the best way? This inquiry that is done by descriptive and analytical methods has illustrated which by not only determining commitments and penalty clauses in a contract but also by using an arbitrary agreement, protection of trade secrets in the best way is possible.
